These Terms of Use ("Terms") govern your access to and use of our websites at kipio.com, kipio.ai, and cybercept.ai (collectively, the "Websites"), operated by Cybercept, Inc., a Delaware corporation doing business as Kipio ("Kipio," "we," "our," or "us"). These Terms also govern your interactions with us when you sign up to attend or participate in an event or webinar, download a white paper or other materials, or inquire about our AI security software (the "Offering"). By accessing or using the Websites, or otherwise interacting with us as described in these Terms, you agree to be bound by these Terms. If you do not agree, do not access or use the Websites.

These Terms do not govern your use of the Offering itself. If you or your organization has a separate agreement with Kipio governing access to and use of the Offering, that agreement, and not these Terms, governs your use of the Offering.

Eligibility

The Websites and Offering are directed to businesses and business professionals. By using the Websites, you represent that you are at least 18 years old and, if you are using the Websites on behalf of a business, that you have authority to do so.

Use of the Websites

You agree to use the Websites only for lawful purposes. You agree not to:

  • Use the Websites in any way that violates applicable law;
  • Scrape, harvest, or collect data from the Websites using automated means without our prior written consent;
  • Interfere with or disrupt the operation of the Websites or the servers or networks used to make them available;
  • Reverse engineer, decompile, or attempt to derive the source code of the Websites;
  • Introduce viruses, malware, or other harmful code; or
  • Attempt to gain unauthorized access to any portion of the Websites or any systems or networks connected to them.

The Websites do not offer user accounts, and you cannot purchase products or services or complete any transaction through the Websites.

Events, Webinars, and Resource Downloads

If you register for an event or webinar, or submit a form to download a white paper or other materials, or to inquire about the Offering, you represent that the information you provide is accurate and that you have the right to provide it to us. We handle information you submit as described in our Privacy Policy. We may contact you about the event, webinar, or materials you requested, and, where permitted and in accordance with your preferences, about the Offering.

Content and Intellectual Property

All content on the Websites, including text, graphics, logos, articles, reports, and design elements ("Website Content"), is owned by Kipio or its licensors and is protected by copyright, trademark, and other intellectual property laws.

We publish articles and reports in our resources section and want them shared. You may view, download, and share Website Content for your own informational or internal business purposes, including sharing it through standard social sharing links, provided that you do not modify it, do not use it for commercial redistribution or republication, and keep any copyright or trademark notices intact. Any other use of Website Content requires our prior written permission.

"Kipio" and our logo are trademarks of Cybercept, Inc. You may not use our trademarks without our prior written consent.

Third-Party Links

The Websites may contain links to third-party websites. We do not control and are not responsible for the content, accuracy, or practices of any linked third-party site. Inclusion of a link does not imply our endorsement.

Disclaimer of Warranties

THE WEBSITES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIPIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITES. KIPIO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE WEBSITES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify and hold Kipio harmless from any claims, damages, or expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Websites.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in New York County, New York.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Your continued use of the Websites after changes become effective constitutes acceptance of the updated Terms.
